REGULAMIN ŚWIADCZENIA USŁUG, POŚREDNICTWA ORAZ SPRZEDAŻY POJAZDÓW

§ 1. Postanowienia ogólne

  1. Niniejszy Regulamin określa zasady:
    1. korzystania z serwisu internetowego dostępnego pod adresem www.dubailuxecar.com;
    2. składania zapytań i zamówień;
    3. świadczenia usług wyszukiwania i sprowadzania pojazdów na indywidualne zamówienie;
    4. pośrednictwa w zakupie pojazdów;
    5. zakupu pojazdów przez FTC Group i ich dalszej sprzedaży Klientom;
    6. organizowania inspekcji, transportu, odprawy celnej, przygotowania dokumentacji oraz innych usług związanych ze sprowadzeniem pojazdu;
    7. płatności, reklamacji, odpowiedzialności i rozwiązywania umów.
  2. Podmiotem prowadzącym działalność pod marką Dubai Luxe Car jest:

    FTC Group Sp. z o.o.

    dalej jako „FTC Group”.

  3. Regulamin jest udostępniany nieodpłatnie w Serwisie w sposób umożliwiający jego pobranie, zapisanie i wydrukowanie.
  4. Klient powinien zapoznać się z Regulaminem przed złożeniem Zamówienia lub zawarciem Umowy.
  5. Złożenie Zamówienia lub zawarcie Umowy wymaga akceptacji Regulaminu, chyba że strony w indywidualnej Umowie wyraźnie postanowią inaczej.
  6. Regulamin stosuje się zarówno do Konsumentów, Przedsiębiorców na prawach konsumenta, jak i pozostałych Przedsiębiorców, z uwzględnieniem różnic wynikających z obowiązujących przepisów.
  7. W sprawach nieuregulowanych Regulaminem zastosowanie mają przepisy prawa polskiego, w szczególności Kodeksu cywilnego, ustawy o prawach konsumenta oraz ustawy o świadczeniu usług drogą elektroniczną.

§ 2. Definicje

Użyte w Regulaminie określenia oznaczają:

  1. FTC Group – FTC Group Sp. z o.o., prowadząca działalność pod marką Dubai Luxe Car.
  2. Serwis – strona internetowa dostępna pod adresem www.dubailuxecar.com.
  3. Klient – osoba fizyczna, osoba prawna albo jednostka organizacyjna posiadająca zdolność prawną, która kontaktuje się z FTC Group, składa Zamówienie lub zawiera Umowę.
  4. Konsument – osoba fizyczna dokonująca z FTC Group czynności prawnej niezwiązanej bezpośrednio z jej działalnością gospodarczą lub zawodową.
  5. Przedsiębiorca – osoba fizyczna, osoba prawna albo jednostka organizacyjna prowadząca we własnym imieniu działalność gospodarczą lub zawodową.
  6. Przedsiębiorca na prawach konsumenta – osoba fizyczna zawierająca Umowę bezpośrednio związaną z jej działalnością gospodarczą, gdy z treści Umowy wynika, że nie ma ona dla tej osoby charakteru zawodowego.
  7. Pojazd – samochód osobowy, samochód dostawczy, pojazd terenowy, motocykl albo inny pojazd wskazany w Zamówieniu.
  8. Zamówienie – przekazane przez Klienta i zaakceptowane przez FTC Group zlecenie dotyczące wyszukania, zakupu, pośrednictwa, sprowadzenia, transportu lub sprzedaży określonego Pojazdu.
  9. Umowa indywidualna – umowa sprzedaży, umowa pośrednictwa, umowa o świadczenie usług, pełnomocnictwo, potwierdzenie Zamówienia lub inny dokument określający indywidualne warunki współpracy.
  10. Model sprzedażowy – model, w którym FTC Group nabywa Pojazd we własnym imieniu, a następnie sprzedaje go Klientowi jako sprzedawca.
  11. Model pośrednictwa – model, w którym FTC Group działa na rzecz Klienta w zakresie wyszukania, weryfikacji, negocjacji lub organizacji zakupu Pojazdu, natomiast stroną umowy zakupu Pojazdu jest Klient i zagraniczny albo krajowy sprzedawca.
  12. Oferta – informacja przedstawiająca warunki konkretnej transakcji, w szczególności Pojazd, zakres usług, cenę, wynagrodzenie, koszty dodatkowe i przewidywany termin realizacji.
  13. Specyfikacja Pojazdu – uzgodnione wymagania Klienta dotyczące między innymi marki, modelu, rocznika, przebiegu, wersji silnika, wyposażenia, koloru, historii, stanu technicznego i budżetu.
  14. Koszty zewnętrzne – koszty należne niezależnym podmiotom, w szczególności sprzedawcom, domom aukcyjnym, bankom, operatorom płatności, rzeczoznawcom, przewoźnikom, spedytorom, portom, magazynom, agentom celnym, tłumaczom, urzędom i stacjom kontroli pojazdów.
  15. Trwały nośnik – materiał lub narzędzie umożliwiające przechowywanie informacji w sposób pozwalający na dostęp do nich w przyszłości, w szczególności papier, wiadomość e-mail albo dokument PDF.

§ 3. Zakres działalności FTC Group

  1. FTC Group zajmuje się sprowadzaniem Pojazdów na indywidualne zamówienie Klientów, w szczególności z Dubaju, Zjednoczonych Emiratów Arabskich oraz innych rynków zagranicznych.
  2. W zależności od indywidualnych ustaleń zakres działalności FTC Group może obejmować:
    1. analizę potrzeb Klienta;
    2. przygotowanie Specyfikacji Pojazdu;
    3. wyszukiwanie Pojazdów;
    4. przedstawianie Klientowi dostępnych ofert;
    5. weryfikację danych sprzedawcy;
    6. weryfikację dostępnej historii Pojazdu;
    7. organizację oględzin lub inspekcji technicznej;
    8. uzyskiwanie zdjęć, nagrań lub raportów;
    9. negocjowanie warunków zakupu;
    10. udział w aukcji;
    11. zakup Pojazdu we własnym imieniu;
    12. zakup Pojazdu w imieniu lub na rzecz Klienta;
    13. obsługę płatności związanych z zakupem;
    14. organizację transportu lądowego i morskiego;
    15. organizację załadunku, rozładunku i magazynowania;
    16. organizację ubezpieczenia transportowego, jeżeli zostało zamówione;
    17. organizację odprawy eksportowej i importowej;
    18. przygotowanie lub pozyskanie dokumentacji;
    19. organizację tłumaczenia dokumentów;
    20. pomoc w zakresie badań technicznych, homologacji, akcyzy lub rejestracji;
    21. dostarczenie Pojazdu do uzgodnionego miejsca;
    22. sprzedaż sprowadzonego Pojazdu Klientowi.
  3. Dokładny zakres usług każdorazowo określa Oferta, Zamówienie lub Umowa indywidualna.
  4. FTC Group nie jest zobowiązana do wykonywania czynności, które nie zostały objęte zaakceptowanym zakresem Zamówienia.
  5. FTC Group może korzystać z usług podwykonawców i partnerów, w szczególności rzeczoznawców, inspektorów, domów aukcyjnych, przewoźników, spedytorów, agentów celnych i tłumaczy.
  6. Powierzenie określonych czynności podwykonawcy nie zwalnia FTC Group z odpowiedzialności w zakresie wynikającym z obowiązujących przepisów oraz zawartej Umowy.

§ 4. Modele współpracy

  1. FTC Group stosuje dwa podstawowe modele współpracy:
    1. Model sprzedażowy;
    2. Model pośrednictwa.
  2. Model właściwy dla konkretnego Zamówienia jest wskazywany Klientowi przed powstaniem obowiązku zapłaty lub podjęciem wiążących czynności związanych z zakupem Pojazdu.
  3. W Modelu sprzedażowym:
    1. FTC Group nabywa Pojazd we własnym imieniu;
    2. FTC Group jest stroną umowy sprzedaży zawieranej z Klientem;
    3. FTC Group wystawia Klientowi odpowiedni dokument sprzedaży;
    4. odpowiedzialność FTC Group jako sprzedawcy jest określona w Umowie, Regulaminie i obowiązujących przepisach;
    5. całkowita cena sprzedaży oraz jej składniki są przedstawiane Klientowi przed zawarciem Umowy.
  4. W Modelu pośrednictwa:
    1. FTC Group nie musi być właścicielem ani sprzedawcą Pojazdu;
    2. stroną umowy zakupu Pojazdu może być bezpośrednio Klient;
    3. FTC Group działa na podstawie zlecenia, upoważnienia lub pełnomocnictwa;
    4. Klient może być importerem Pojazdu;
    5. wynagrodzenie FTC Group jest odrębne od ceny Pojazdu i Kosztów zewnętrznych, chyba że Oferta przewiduje cenę pakietową;
    6. roszczenia dotyczące samego Pojazdu mogą przysługiwać Klientowi bezpośrednio wobec zagranicznego sprzedawcy, domu aukcyjnego albo innego podmiotu będącego stroną sprzedaży;
    7. FTC Group odpowiada za należyte wykonanie powierzonych jej usług, a nie za zobowiązania niezależnego sprzedawcy, z zastrzeżeniem odpowiedzialności FTC Group za własne działania i zaniechania.
  5. Odstąpienie od umowy pośrednictwa zawartej z FTC Group nie powoduje automatycznego rozwiązania umowy sprzedaży zawartej bezpośrednio przez Klienta z zagranicznym sprzedawcą lub domem aukcyjnym.
  6. Jeżeli dokumenty danego Zamówienia nie wskazują jednoznacznie modelu współpracy, przed dokonaniem zakupu FTC Group przekazuje Klientowi informację, kto będzie nabywcą Pojazdu i stroną umowy sprzedaży.

§ 5. Informacje w Serwisie

  1. Informacje, zdjęcia, opisy Pojazdów, przykładowe wyceny i materiały publikowane w Serwisie mają charakter informacyjny.
  2. Informacje opublikowane w Serwisie nie stanowią oferty w rozumieniu Kodeksu cywilnego, chyba że konkretny materiał wyraźnie wskazuje inaczej.
  3. Przedstawiane przykładowe ceny sprowadzenia Pojazdów mogą opierać się na kursach walut, opłatach transportowych, podatkach, należnościach celnych i innych kosztach obowiązujących w chwili przygotowania kalkulacji.
  4. Ostateczne warunki konkretnego Zamówienia wynikają z Oferty lub Umowy indywidualnej zaakceptowanej przez Klienta.
  5. Zdjęcia zamieszczone w Serwisie mogą mieć charakter poglądowy.
  6. FTC Group dokłada starań, aby informacje w Serwisie były aktualne, jednak dostępność Pojazdów i wysokość kosztów może ulegać zmianom.

§ 6. Składanie zapytań i Zamówień

  1. Klient może skontaktować się z FTC Group w szczególności:
    1. za pomocą formularza dostępnego w Serwisie;
    2. za pomocą poczty elektronicznej;
    3. telefonicznie;
    4. za pomocą komunikatora internetowego;
    5. za pomocą profilu FTC Group w mediach społecznościowych;
    6. osobiście.
  2. Zapytanie Klienta nie powoduje automatycznie zawarcia Umowy ani obowiązku dokonania zakupu.
  3. W celu przygotowania Oferty FTC Group może poprosić Klienta o przekazanie:
    1. oczekiwanej marki i modelu;
    2. roku produkcji;
    3. rodzaju silnika;
    4. wersji wyposażenia;
    5. maksymalnego przebiegu;
    6. dopuszczalnej historii uszkodzeń;
    7. wymaganego stanu technicznego;
    8. budżetu;
    9. terminu realizacji;
    10. danych niezbędnych do zawarcia Umowy i dokonania rozliczeń.
  4. Umowa zostaje zawarta w chwili:
    1. podpisania Umowy indywidualnej przez obie strony;
    2. zaakceptowania przez Klienta Oferty lub potwierdzenia Zamówienia na Trwałym nośniku;
    3. albo dokonania innej wyraźnie uzgodnionej czynności potwierdzającej zawarcie Umowy.
  5. Jeżeli zawarcie Umowy powoduje obowiązek zapłaty, Klient jest o tym jednoznacznie informowany przed złożeniem wiążącego oświadczenia.
  6. Jeżeli FTC Group z własnej inicjatywy kontaktuje się telefonicznie z Konsumentem w celu zawarcia Umowy, treść proponowanej Umowy zostanie potwierdzona na Trwałym nośniku. Umowa zostaje zawarta po zaakceptowaniu jej przez Konsumenta na Trwałym nośniku.
  7. FTC Group może odmówić przyjęcia Zamówienia, w szczególności gdy:
    1. wymagania Klienta są niemożliwe do spełnienia;
    2. budżet nie odpowiada warunkom rynkowym;
    3. Zamówienie może naruszać przepisy prawa;
    4. Klient nie przekazał wymaganych informacji;
    5. istnieją uzasadnione wątpliwości dotyczące legalności transakcji lub pochodzenia środków;
    6. Klient nie dokonał wymaganej płatności;
    7. dalsza realizacja mogłaby narazić FTC Group lub Klienta na nieproporcjonalne ryzyko prawne lub gospodarcze.

§ 7. Kolejność stosowania dokumentów

  1. Do konkretnej transakcji mogą mieć zastosowanie:
    1. Umowa indywidualna;
    2. potwierdzenie Zamówienia;
    3. Oferta;
    4. Specyfikacja Pojazdu;
    5. pełnomocnictwo;
    6. protokół odbioru;
    7. Regulamin.
  2. W przypadku sprzeczności pierwszeństwo mają kolejno:
    1. Umowa indywidualna;
    2. potwierdzenie Zamówienia;
    3. Oferta i zaakceptowana Specyfikacja;
    4. Regulamin.
  3. Postanowienia Umowy indywidualnej mniej korzystne dla Konsumenta niż bezwzględnie obowiązujące przepisy nie naruszają praw przyznanych mu przez te przepisy.

§ 8. Wyszukiwanie Pojazdu

  1. FTC Group wyszukuje Pojazd zgodnie z zaakceptowaną Specyfikacją i zakresem Zamówienia.
  2. FTC Group nie gwarantuje znalezienia Pojazdu spełniającego wszystkie wymagania Klienta w określonym terminie, chyba że przyjęła takie zobowiązanie w Umowie indywidualnej.
  3. Klient przyjmuje do wiadomości, że dostępność określonych modeli, konfiguracji i wersji wyposażenia może być ograniczona.
  4. Jeżeli nie jest możliwe znalezienie Pojazdu zgodnego ze wszystkimi wymaganiami, FTC Group może przedstawić Klientowi pojazdy o zbliżonych parametrach.
  5. Zakup Pojazdu o parametrach odbiegających od pierwotnej Specyfikacji wymaga zgody Klienta przekazanej co najmniej w wiadomości e-mail, wiadomości tekstowej lub komunikatorze pozwalającym utrwalić jej treść.
  6. Klient powinien dokładnie zapoznać się z informacjami dotyczącymi proponowanego Pojazdu przed jego zatwierdzeniem.

§ 9. Zatwierdzenie Pojazdu

  1. Przed dokonaniem wiążącego zakupu FTC Group przekazuje Klientowi dostępne informacje dotyczące Pojazdu, odpowiednio do zakresu Zamówienia.
  2. Informacje mogą obejmować:
    1. markę i model;
    2. rok produkcji lub rok modelowy;
    3. numer VIN;
    4. deklarowany przebieg;
    5. wyposażenie;
    6. stan wizualny;
    7. ujawnioną historię uszkodzeń;
    8. dostępny raport aukcyjny;
    9. raport z inspekcji;
    10. zdjęcia i nagrania;
    11. cenę zakupu;
    12. przewidywane Koszty zewnętrzne;
    13. znane ryzyka związane z zakupem.
  3. Klient zatwierdza Pojazd w sposób pozwalający utrwalić treść zgody.
  4. Zatwierdzenie Pojazdu oznacza zgodę na jego zakup na przedstawionych warunkach, z uwzględnieniem informacji o ujawnionym stanie i wadach.
  5. Zatwierdzenie Pojazdu nie pozbawia Konsumenta praw, których nie może się skutecznie zrzec.
  6. FTC Group nie dokonuje zakupu Pojazdu przekraczającego zaakceptowany limit ceny lub budżetu bez uzyskania dodatkowej zgody Klienta.

§ 10. Aukcje

  1. Pojazd może być nabywany w ramach aukcji stacjonarnej lub internetowej.
  2. Przed przystąpieniem do licytacji Klient zatwierdza:
    1. konkretny Pojazd;
    2. maksymalną cenę licytacji;
    3. znane opłaty aukcyjne;
    4. przewidywane pozostałe koszty;
    5. zakres dostępnej weryfikacji Pojazdu.
  3. Maksymalna kwota licytacji nie obejmuje prowizji domu aukcyjnego, podatków, opłat bankowych, transportu i innych Kosztów zewnętrznych, chyba że wyraźnie wskazano inaczej.
  4. FTC Group nie gwarantuje wygrania aukcji.
  5. Jeżeli aukcja nie zostanie wygrana, dalsze postępowanie zależy od ustaleń z Klientem. FTC Group może wyszukiwać kolejny Pojazd w ramach tego samego Zamówienia.
  6. Jeżeli Klient jest bezpośrednim nabywcą Pojazdu, wygranie aukcji może spowodować powstanie wiążącego zobowiązania Klienta wobec domu aukcyjnego lub sprzedawcy.
  7. Klient jest informowany o zasadach konkretnej aukcji przed zatwierdzeniem udziału, jeżeli zasady te zostały udostępnione FTC Group.
  8. Sam fakt nabywania Pojazdu przez FTC Group lub Klienta za pośrednictwem zagranicznej aukcji internetowej nie przesądza automatycznie, że późniejsza umowa zawarta pomiędzy FTC Group a Konsumentem jest aukcją publiczną w rozumieniu polskich przepisów konsumenckich.

§ 11. Stan Pojazdu i inspekcja

  1. Pojazdy sprowadzane na zamówienie mogą być pojazdami nowymi albo używanymi.
  2. Pojazd używany może posiadać ślady eksploatacji odpowiadające jego wiekowi, przebiegowi, przeznaczeniu i dotychczasowemu sposobowi użytkowania.
  3. Pojazdy oferowane na rynkach zagranicznych mogą:
    1. różnić się specyfikacją od wersji przeznaczonych na rynek europejski;
    2. wymagać dostosowania do polskich lub unijnych wymagań technicznych;
    3. posiadać historię napraw;
    4. posiadać wcześniejsze uszkodzenia;
    5. wymagać serwisu, naprawy, wymiany części lub kodowania;
    6. nie posiadać pełnej dokumentacji serwisowej;
    7. posiadać wyposażenie niedostępne lub nieobsługiwane na rynku europejskim.
  4. Zakres inspekcji jest każdorazowo określany w Ofercie lub Umowie.
  5. Inspekcja może mieć charakter:
    1. wizualny;
    2. fotograficzny;
    3. techniczny;
    4. komputerowy;
    5. rozszerzony, obejmujący jazdę próbną lub pomiary, jeżeli jest to możliwe.
  6. Inspekcja nie oznacza demontażu całego Pojazdu i nie gwarantuje wykrycia wszystkich wad, w szczególności wad ukrytych, okresowych lub możliwych do stwierdzenia wyłącznie podczas specjalistycznego demontażu.
  7. Raport sporządzony przez niezależnego inspektora, rzeczoznawcę albo dom aukcyjny przedstawia stan stwierdzony w chwili kontroli i w jej zakresie.
  8. FTC Group przekazuje raporty i informacje uzyskane od podmiotów zewnętrznych zgodnie z ich treścią i nie może samodzielnie zagwarantować prawdziwości informacji, których weryfikacja nie była objęta Zamówieniem.
  9. FTC Group odpowiada za rzetelne przekazanie informacji, które otrzymała, oraz za niewprowadzanie Klienta w błąd.
  10. Jeżeli Klient rezygnuje z dostępnej inspekcji pomimo poinformowania o jej znaczeniu, ryzyko niewykrycia wad zwiększa się. Nie narusza to bezwzględnie obowiązujących praw Konsumenta wobec FTC Group jako sprzedawcy.
  11. Deklarowany przebieg może pochodzić z licznika, dokumentów, raportu aukcyjnego lub informacji sprzedawcy. FTC Group potwierdza autentyczność przebiegu wyłącznie wtedy, gdy wyraźnie zobowiązała się do takiej weryfikacji.

§ 12. Cena, wynagrodzenie i koszty

  1. Cena i zakres rozliczenia są ustalane indywidualnie.
  2. W Modelu sprzedażowym FTC Group informuje Klienta przed zawarciem Umowy o:
    1. całkowitej cenie Pojazdu;
    2. podatkach i opłatach wliczonych w cenę;
    3. kosztach, które nie są wliczone w cenę;
    4. kosztach dostawy lub odbioru;
    5. zasadach ewentualnej zmiany ceny, jeśli charakter transakcji nie pozwala na jej ostateczne obliczenie z góry.
  3. W Modelu pośrednictwa Klient może być zobowiązany do pokrycia:
    1. ceny zakupu Pojazdu;
    2. wynagrodzenia FTC Group;
    3. prowizji sprzedawcy lub domu aukcyjnego;
    4. kosztów inspekcji;
    5. opłat bankowych i kosztów przewalutowania;
    6. kosztów transportu na terenie kraju zakupu;
    7. kosztów transportu morskiego lub lotniczego;
    8. kosztów ubezpieczenia;
    9. opłat portowych;
    10. kosztów przeładunku i magazynowania;
    11. należności celnych;
    12. podatku VAT;
    13. podatku akcyzowego;
    14. kosztów tłumaczeń;
    15. kosztów badań technicznych;
    16. kosztów homologacji lub dostosowania Pojazdu;
    17. kosztów rejestracji;
    18. innych kosztów zaakceptowanych przez Klienta.
  4. FTC Group nie pobiera od Konsumenta dodatkowych opłat, o których Konsument nie został poinformowany przed zawarciem Umowy.
  5. Kalkulacja może mieć charakter:
    1. ceny stałej;
    2. ceny maksymalnej;
    3. szacunkowego kosztorysu;
    4. ceny składającej się z kwoty stałej i Kosztów zewnętrznych rozliczanych według ich rzeczywistej wysokości.
  6. Rodzaj kalkulacji jest określany w Ofercie lub Umowie.
  7. Jeżeli podana kwota jest szacunkiem, jej ostateczna wysokość może zależeć między innymi od:
    1. wyniku aukcji;
    2. kursu waluty;
    3. opłat bankowych;
    4. stawek transportowych;
    5. opłat portowych;
    6. czasu magazynowania;
    7. należności publicznoprawnych;
    8. decyzji organów celnych;
    9. masy, wymiarów lub stanu Pojazdu;
    10. konieczności wykonania dodatkowych czynności.
  8. Przed poniesieniem kosztu przekraczającego zaakceptowany budżet FTC Group zwraca się do Klienta o zgodę, chyba że poniesienie kosztu jest niezbędne do ochrony Pojazdu przed bezpośrednim uszkodzeniem, utratą lub powstaniem wyższych opłat, a kontakt z Klientem jest niemożliwy.
  9. W przypadku Konsumenta możliwość poniesienia koniecznego kosztu bez uprzedniej zgody nie może prowadzić do obciążenia go opłatą sprzeczną z obowiązującymi przepisami.
  10. Jeżeli Klient nie akceptuje podwyższenia szacowanego kosztu, strony ustalają dalszy sposób postępowania, z uwzględnieniem już powstałych i nieodwracalnych zobowiązań.

§ 13. Kursy walut

  1. Jeżeli rozliczenie wymaga płatności w walucie obcej, przeliczenie może nastąpić według:
    1. kursu zastosowanego przez bank lub operatora płatności;
    2. kursu wskazanego w Ofercie;
    3. kursu uzgodnionego w Umowie indywidualnej.
  2. Klient jest informowany, czy przedstawiona kalkulacja obejmuje bufor kursowy albo opłaty za wymianę waluty.
  3. Jeżeli pomiędzy przygotowaniem kalkulacji a dokonaniem płatności nastąpi istotna zmiana kursu, FTC Group przedstawia zaktualizowane rozliczenie przed zaciągnięciem zobowiązania przekraczającego zatwierdzony budżet.
  4. FTC Group nie odpowiada za niezależne od niej zmiany kursów walut, ale odpowiada za prawidłowe zastosowanie ustalonego sposobu przeliczenia.

§ 14. Płatności

  1. Płatności są dokonywane w terminach i wysokości określonych w Ofercie, Zamówieniu, fakturze, fakturze pro forma albo Umowie indywidualnej.
  2. Płatność może obejmować:
    1. wynagrodzenie za rozpoczęcie wyszukiwania;
    2. koszt inspekcji;
    3. kwotę przeznaczoną na zakup Pojazdu;
    4. zabezpieczenie udziału w aukcji;
    5. koszt transportu;
    6. należności publicznoprawne;
    7. pozostałą część ceny lub wynagrodzenia.
  3. Charakter prawny wpłacanej kwoty, w szczególności jako zaliczki, zadatku, przedpłaty lub zapłaty za określoną usługę, wynika z dokumentu dotyczącego konkretnej płatności.
  4. Jeżeli dokument nie określa wpłaty jako zadatku, nie uważa się jej za zadatek wyłącznie z powodu dokonania przed rozpoczęciem realizacji.
  5. W Modelu pośrednictwa środki przekazane na zakup Pojazdu lub pokrycie Kosztów zewnętrznych mogą być wykorzystywane zgodnie z zaakceptowanym Zamówieniem.
  6. FTC Group przedstawia rozliczenie otrzymanych środków w zakresie wynikającym z Umowy.
  7. Brak wymaganej płatności może spowodować:
    1. wstrzymanie wyszukiwania;
    2. nieprzystąpienie do aukcji;
    3. wstrzymanie transportu lub wydania Pojazdu;
    4. powstanie dodatkowych kosztów magazynowania;
    5. rozwiązanie Umowy, jeżeli Klient mimo wezwania nie dokona zapłaty.
  8. FTC Group nie odpowiada za utratę możliwości zakupu Pojazdu wynikającą z niedokonania płatności przez Klienta w wymaganym terminie.
  9. Zwrot środków następuje po rozliczeniu zobowiązań wynikających z Umowy, z uwzględnieniem praw Konsumenta oraz kosztów, które zgodnie z prawem i Umową mogą zostać odliczone.

§ 15. Zakup w Modelu pośrednictwa

  1. W Modelu pośrednictwa Klient może udzielić FTC Group pełnomocnictwa do dokonania czynności związanych z zakupem i sprowadzeniem Pojazdu.
  2. Pełnomocnictwo określa zakres czynności, które FTC Group może wykonać w imieniu Klienta.
  3. FTC Group nie może bez zgody Klienta:
    1. kupić innego Pojazdu niż zatwierdzony;
    2. przekroczyć zaakceptowanego limitu ceny;
    3. istotnie zmienić uzgodnionych warunków transakcji;
    4. zaciągnąć w imieniu Klienta zobowiązania nieobjęte pełnomocnictwem.
  4. Klient zobowiązuje się przekazać dane i dokumenty konieczne do wykonania pełnomocnictwa.
  5. Jeżeli Klient jest bezpośrednim nabywcą lub importerem, ponosi obowiązki wynikające z zawartej przez niego umowy sprzedaży oraz przepisów dotyczących importu, z zastrzeżeniem obowiązków powierzonych FTC Group.
  6. FTC Group informuje Klienta o znanych jej istotnych warunkach umowy ze sprzedawcą, w szczególności dotyczących płatności, odpowiedzialności, anulowania zakupu i odbioru Pojazdu.

§ 16. Transport i ubezpieczenie

  1. Transport Pojazdu może być organizowany przez FTC Group albo przez Klienta.
  2. Rodzaj transportu, miejsce nadania, miejsce odbioru i orientacyjny termin są określane indywidualnie.
  3. Transport może obejmować kilka etapów i być wykonywany przez różnych przewoźników.
  4. Terminy transportu mają charakter orientacyjny, chyba że w Umowie wyraźnie zagwarantowano określony termin.
  5. Na termin transportu mogą wpływać między innymi:
    1. harmonogramy statków;
    2. warunki pogodowe;
    3. kontrole portowe i celne;
    4. dostępność przewoźników;
    5. opóźnienia załadunku;
    6. strajki;
    7. zamknięcie portów lub szlaków;
    8. awarie;
    9. zdarzenia geopolityczne;
    10. działanie organów państwowych.
  6. Ubezpieczenie transportowe jest zawierane, jeżeli wynika to z Oferty albo zostało odrębnie zamówione przez Klienta.
  7. Klient jest informowany o zakresie ubezpieczenia, jeżeli ubezpieczenie jest elementem usługi FTC Group.
  8. W przypadku szkody transportowej Klient powinien niezwłocznie poinformować FTC Group oraz umożliwić sporządzenie dokumentacji wymaganej przez przewoźnika lub ubezpieczyciela.
  9. FTC Group wspiera Klienta w dochodzeniu roszczeń transportowych w zakresie objętym Umową.
  10. Odpowiedzialność przewoźnika lub ubezpieczyciela jest określana przez właściwe przepisy i warunki zawartej z nim umowy.

§ 17. Odprawa celna, podatki i opłaty

  1. Zakres obsługi celnej i podatkowej jest wskazany w Ofercie lub Umowie.
  2. Kalkulacje należności publicznoprawnych mogą mieć charakter szacunkowy do czasu ich ostatecznego określenia przez właściwy organ.
  3. Ostateczna wysokość cła, podatku VAT, akcyzy i innych opłat może zależeć między innymi od:
    1. wartości celnej;
    2. kraju pochodzenia;
    3. pojemności i rodzaju silnika;
    4. rodzaju napędu;
    5. klasyfikacji taryfowej;
    6. kosztów transportu i ubezpieczenia;
    7. kursu celnego;
    8. decyzji właściwego organu.
  4. FTC Group nie może zagwarantować, że organ celny przyjmie wartość lub klasyfikację wskazaną w szacunkowej kalkulacji.
  5. Jeżeli Klient jest importerem, zobowiązuje się współpracować przy odprawie i przekazać wymagane dokumenty.
  6. FTC Group nie odpowiada za opóźnienia wynikające z braku dokumentów, nieprawidłowych danych przekazanych przez Klienta albo decyzji właściwego organu, chyba że opóźnienie wynika z działania lub zaniechania FTC Group.

§ 18. Dokumentacja Pojazdu

  1. FTC Group przekazuje Klientowi dokumenty otrzymane w związku z zakupem i sprowadzeniem Pojazdu, odpowiednio do wybranego modelu współpracy.
  2. Dokumentacja może obejmować:
    1. dokument sprzedaży;
    2. dokument potwierdzający własność;
    3. dokument eksportowy;
    4. dokument transportowy;
    5. dokument odprawy celnej;
    6. potwierdzenie zapłaty należności;
    7. dostępne dokumenty techniczne;
    8. raport inspekcji;
    9. kluczyki i wyposażenie przekazane przez sprzedawcę.
  3. Zakres dokumentacji zależy od kraju pochodzenia, sprzedawcy, rodzaju aukcji i modelu transakcji.
  4. Jeżeli określony dokument jest dostępny wyłącznie w formie elektronicznej albo jako duplikat, FTC Group informuje o tym Klienta.
  5. Klient zobowiązuje się niezwłocznie przekazać FTC Group dane potrzebne do prawidłowego wystawienia dokumentów.

§ 19. Homologacja, badanie techniczne i rejestracja

  1. Pojazd sprowadzony spoza Unii Europejskiej może wymagać dostosowania do wymagań technicznych obowiązujących w Polsce.
  2. Dostosowanie może obejmować między innymi:
    1. oświetlenie;
    2. kierunkowskazy;
    3. tylne światło przeciwmgielne;
    4. prędkościomierz;
    5. systemy multimedialne;
    6. oznaczenia i elementy wyposażenia;
    7. dodatkowe badania lub dokumenty.
  3. Koszty dostosowania, badań, opinii, dopuszczenia jednostkowego albo homologacji są wliczone w cenę tylko wtedy, gdy wyraźnie wskazano to w Ofercie.
  4. FTC Group może pomagać w procesie rejestracji, ale nie może zagwarantować wydania określonej decyzji przez urząd, jeżeli decyzja zależy od oceny właściwego organu.
  5. FTC Group odpowiada za prawidłowe wykonanie czynności powierzonych jej w zakresie dokumentacji lub rejestracji.
  6. Jeżeli przed zawarciem Umowy FTC Group wie, że Pojazd może nie spełniać warunków rejestracji albo rejestracja wiąże się z podwyższonym ryzykiem, informuje o tym Klienta przed dokonaniem zakupu.

§ 20. Termin realizacji

  1. Przewidywany termin realizacji jest ustalany indywidualnie.
  2. Termin może obejmować:
    1. wyszukiwanie Pojazdu;
    2. dokonanie zakupu;
    3. przygotowanie eksportu;
    4. transport do portu;
    5. oczekiwanie na załadunek;
    6. transport międzynarodowy;
    7. odprawę celną;
    8. transport krajowy;
    9. przygotowanie dokumentów;
    10. dostosowanie Pojazdu.
  3. Termin ma charakter szacunkowy, jeżeli zależy od podmiotów zewnętrznych lub organów publicznych.
  4. FTC Group informuje Klienta o znanym istotnym opóźnieniu.
  5. Jeżeli opóźnienie dotyczy Umowy sprzedaży zawartej z Konsumentem, Konsument zachowuje wszystkie uprawnienia wynikające z obowiązujących przepisów, w tym możliwość wyznaczenia dodatkowego terminu, gdy przepisy przewidują takie uprawnienie.
  6. FTC Group nie odpowiada za opóźnienie spowodowane wyłącznie okolicznością pozostającą poza jej rozsądną kontrolą, o ile dochowała należytej staranności i podjęła działania służące ograniczeniu skutków opóźnienia.

§ 21. Wydanie i odbiór Pojazdu

  1. Pojazd jest wydawany w miejscu uzgodnionym przez strony.
  2. Przed wydaniem FTC Group może uzależnić przekazanie Pojazdu od zapłaty wszystkich wymagalnych należności.
  3. Przy odbiorze strony mogą sporządzić protokół obejmujący:
    1. datę i miejsce odbioru;
    2. stan licznika;
    3. widoczne uszkodzenia;
    4. liczbę kluczyków;
    5. przekazane dokumenty;
    6. przekazane wyposażenie;
    7. zgłoszone zastrzeżenia.
  4. Klient powinien podczas odbioru sprawdzić Pojazd w zakresie możliwym do wykonania bez specjalistycznego demontażu.
  5. Brak wpisania w protokole wady ukrytej, której nie można było stwierdzić przy zwykłym odbiorze, nie pozbawia Konsumenta przysługujących mu praw.
  6. W Modelu sprzedażowym ryzyko przypadkowej utraty lub uszkodzenia Pojazdu przechodzi na Konsumenta z chwilą jego wydania Konsumentowi lub wskazanej przez niego osobie, z uwzględnieniem wyjątków wynikających z przepisów.
  7. W Modelu pośrednictwa przejście ryzyka określają warunki umowy zawartej ze sprzedawcą, przewoźnikiem lub ubezpieczycielem.
  8. Jeżeli Klient bez uzasadnionej przyczyny nie odbierze Pojazdu w uzgodnionym terminie, może zostać obciążony uzasadnionymi i wcześniej zakomunikowanymi kosztami dalszego przechowywania.

§ 22. Rezygnacja i rozwiązanie Umowy

  1. Zasady rezygnacji są zależne od modelu współpracy i etapu realizacji Zamówienia.
  2. Klient może złożyć oświadczenie o rezygnacji w formie dokumentowej, w szczególności pocztą elektroniczną.
  3. Jeżeli Klient rezygnuje przed dokonaniem zakupu Pojazdu, rozliczenie może obejmować:
    1. wartość usług wykonanych do dnia rezygnacji;
    2. uzgodnione wynagrodzenie należne za wykonany etap;
    3. bezzwrotne Koszty zewnętrzne poniesione zgodnie z Zamówieniem;
    4. pozostałą część niewykorzystanych środków podlegającą zwrotowi.
  4. Jeżeli Klient w Modelu pośrednictwa zatwierdził zakup, a FTC Group lub Klient zaciągnęli wiążące zobowiązanie wobec sprzedawcy, domu aukcyjnego, przewoźnika albo innego podmiotu, późniejsza rezygnacja Klienta nie powoduje automatycznego wygaśnięcia tych zobowiązań.
  5. FTC Group przedstawia Klientowi rozliczenie skutków rezygnacji.
  6. FTC Group może rozwiązać Umowę w przypadku istotnego naruszenia jej warunków przez Klienta, w szczególności gdy Klient:
    1. nie dokonuje wymaganej płatności;
    2. nie przekazuje koniecznych danych lub dokumentów;
    3. przekazuje dane nieprawdziwe;
    4. żąda wykonania czynności sprzecznej z prawem;
    5. uniemożliwia wykonanie Umowy;
    6. nie odbiera Pojazdu mimo wezwania.
  7. Przed rozwiązaniem Umowy FTC Group, o ile jest to możliwe i celowe, wzywa Klienta do usunięcia naruszenia i wyznacza odpowiedni termin.
  8. Powyższe postanowienia nie ograniczają ustawowego prawa Konsumenta lub Przedsiębiorcy na prawach konsumenta do odstąpienia od Umowy.

§ 23. Prawo Konsumenta do odstąpienia od Umowy

  1. Konsument, który zawarł Umowę na odległość lub poza lokalem przedsiębiorstwa, może co do zasady odstąpić od niej bez podawania przyczyny.
  2. Termin na odstąpienie wynosi:
    1. 14 dni – w przypadku większości Umów zawartych na odległość lub poza lokalem przedsiębiorstwa;
    2. 30 dni – jeżeli Umowa została zawarta podczas nieumówionej wizyty FTC Group w miejscu zamieszkania lub zwykłego pobytu Konsumenta albo podczas wycieczki zorganizowanej w celu promowania lub sprzedaży usług lub Pojazdów.
  3. W przypadku Umowy o świadczenie usług termin liczy się od dnia zawarcia Umowy.
  4. W przypadku Umowy sprzedaży Pojazdu termin liczy się od dnia objęcia Pojazdu w posiadanie przez Konsumenta albo wskazaną przez niego osobę inną niż przewoźnik.
  5. Do zachowania terminu wystarczy wysłanie oświadczenia przed jego upływem.
  6. Oświadczenie należy przesłać na adres:

  7. Konsument może skorzystać ze wzoru stanowiącego załącznik do Regulaminu, ale nie jest to obowiązkowe.
  8. Jeżeli Konsument żąda rozpoczęcia świadczenia usługi przed upływem terminu na odstąpienie, FTC Group może rozpocząć realizację po otrzymaniu wyraźnego żądania lub zgody wymaganej przez przepisy.
  9. Jeżeli Konsument odstąpi od Umowy po rozpoczęciu świadczenia usługi na jego wyraźne żądanie, może być zobowiązany do zapłaty za świadczenia spełnione do chwili odstąpienia, proporcjonalnie do uzgodnionego zakresu i ceny.
  10. Konsument może utracić prawo do odstąpienia od umowy o świadczenie usług, jeżeli:
    1. usługa została w pełni wykonana;
    2. jej wykonywanie rozpoczęło się za wyraźną i uprzednią zgodą Konsumenta;
    3. Konsument został poinformowany, że po pełnym wykonaniu usługi utraci prawo odstąpienia;
    4. Konsument przyjął tę informację do wiadomości, jeżeli wymagają tego przepisy.
  11. Prawo odstąpienia może nie przysługiwać w przypadkach określonych w ustawie o prawach konsumenta, w szczególności w odniesieniu do rzeczy nieprefabrykowanej, wyprodukowanej według specyfikacji Konsumenta lub służącej zaspokojeniu jego zindywidualizowanych potrzeb.
  12. Sam fakt wyszukania albo sprowadzenia standardowego Pojazdu na zamówienie Klienta nie oznacza automatycznie, że Pojazd jest rzeczą wyprodukowaną według specyfikacji Konsumenta.
  13. FTC Group informuje Konsumenta przed zawarciem Umowy, jeżeli w ocenie FTC Group do konkretnej Umowy ma zastosowanie ustawowe wyłączenie prawa odstąpienia.
  14. Odstąpienie od umowy świadczenia usług zawartej z FTC Group nie rozwiązuje automatycznie odrębnej umowy sprzedaży zawartej bezpośrednio przez Konsumenta z zagranicznym sprzedawcą.
  15. W razie skutecznego odstąpienia FTC Group zwraca należne płatności w terminie i na zasadach wynikających z obowiązujących przepisów.
  16. W przypadku odstąpienia od Umowy sprzedaży Konsument zwraca Pojazd niezwłocznie, nie później niż w terminie 14 dni od dnia poinformowania FTC Group o odstąpieniu.
  17. Konsument ponosi bezpośredni koszt zwrotu Pojazdu, jeżeli został o tym prawidłowo poinformowany przed zawarciem Umowy i przepisy nie nakładają tego kosztu na FTC Group.
  18. Ze względu na charakter Pojazdu jego zwrot może wymagać zorganizowania specjalistycznego transportu. Informacja o przewidywanym koszcie zwrotu zostanie przekazana Konsumentowi przed zawarciem konkretnej Umowy zawieranej na odległość lub poza lokalem.
  19. Konsument ponosi odpowiedzialność za zmniejszenie wartości Pojazdu wynikające z korzystania z niego w sposób wykraczający poza konieczny do stwierdzenia jego charakteru, cech i funkcjonowania.
  20. Postanowienia niniejszego paragrafu stosuje się również do Przedsiębiorcy na prawach konsumenta w zakresie wynikającym z przepisów.

§ 24. Odpowiedzialność FTC Group w Modelu sprzedażowym

  1. Jeżeli FTC Group jest sprzedawcą Pojazdu, odpowiada za jego zgodność z Umową na zasadach określonych w obowiązujących przepisach.
  2. W przypadku sprzedaży Konsumentowi Pojazd powinien być zgodny z Umową, w szczególności pod względem:
    1. opisu;
    2. rodzaju;
    3. jakości;
    4. kompletności;
    5. funkcjonalności;
    6. przydatności do zwykłych celów;
    7. właściwości wyraźnie uzgodnionych z Konsumentem.
  3. Przy ocenie zgodności używanego Pojazdu uwzględnia się:
    1. jego wiek;
    2. przebieg;
    3. ujawnioną historię;
    4. stopień normalnego zużycia;
    5. informacje i odstępstwa wyraźnie zaakceptowane przez Konsumenta przed zawarciem Umowy.
  4. Konsument powinien zostać wyraźnie poinformowany o szczególnej cesze Pojazdu odbiegającej od zwykłych wymagań zgodności i wyraźnie ją zaakceptować.
  5. FTC Group odpowiada wobec Konsumenta za brak zgodności Pojazdu z Umową ujawniony w okresie dwóch lat od jego dostarczenia, chyba że przepisy przewidują dłuższy okres.
  6. W przypadku braku zgodności Konsument może korzystać z uprawnień przewidzianych w ustawie o prawach konsumenta, w szczególności żądać:
    1. naprawy;
    2. wymiany;
    3. obniżenia ceny;
    4. odstąpienia od Umowy, jeżeli spełnione są warunki ustawowe.
  7. FTC Group może dokonać naprawy zamiast wymiany albo wymiany zamiast naprawy, gdy wybrany sposób jest niemożliwy albo wymagałby nadmiernych kosztów, zgodnie z obowiązującymi przepisami.
  8. Odstąpienie od Umowy z powodu niezgodności nie jest możliwe, jeżeli brak zgodności jest nieistotny, z zastrzeżeniem zasad rozkładu ciężaru dowodu wynikających z przepisów.
  9. Odpowiedzialność nie obejmuje cech i wad, o których Konsument został wyraźnie poinformowany i które odrębnie zaakceptował przed zawarciem Umowy, w zakresie dozwolonym prawem.
  10. Gwarancja producenta, importera lub innego podmiotu obowiązuje wyłącznie wtedy, gdy została udzielona i przekazano dokument określający jej warunki.
  11. Gwarancja nie wyłącza, nie ogranicza ani nie zawiesza ustawowych praw Konsumenta wobec sprzedawcy.

§ 25. Odpowiedzialność FTC Group w Modelu pośrednictwa

  1. W Modelu pośrednictwa FTC Group zobowiązuje się wykonywać usługi z należytą starannością właściwą dla profesjonalnego charakteru działalności.
  2. FTC Group odpowiada w szczególności za:
    1. wykonanie uzgodnionych czynności;
    2. przestrzeganie zatwierdzonego budżetu;
    3. przekazywanie Klientowi uzyskanych istotnych informacji;
    4. niewprowadzanie Klienta w błąd;
    5. działanie w granicach udzielonego pełnomocnictwa;
    6. prawidłowe rozliczenie środków w zakresie wynikającym z Umowy.
  3. FTC Group nie jest odpowiedzialna jako sprzedawca za niezgodność Pojazdu z umową, jeżeli sprzedawcą jest niezależny podmiot zagraniczny, a FTC Group prawidłowo poinformowała Klienta o Modelu pośrednictwa.
  4. FTC Group nie odpowiada za wadę Pojazdu, której:
    1. nie znała;
    2. nie mogła wykryć w uzgodnionym zakresie weryfikacji;
    3. nie ujawnił sprzedawca lub podmiot sporządzający raport;
    4. nie można było wykryć bez specjalistycznego demontażu lub badania nieobjętego Zamówieniem;

    pod warunkiem że FTC Group zachowała należytą staranność i nie zataiła znanych informacji.

  5. Na zlecenie Klienta FTC Group może pomagać w zgłoszeniu roszczenia do zagranicznego sprzedawcy, domu aukcyjnego, przewoźnika lub ubezpieczyciela.
  6. Zakres pomocy, o której mowa powyżej, może stanowić odrębną usługę, jeżeli nie został objęty pierwotnym Zamówieniem.

§ 26. Odpowiedzialność wobec Przedsiębiorców

  1. W stosunku do Przedsiębiorców niebędących Przedsiębiorcami na prawach konsumenta odpowiedzialność FTC Group może zostać ograniczona na zasadach określonych w niniejszym paragrafie.
  2. W przypadku sprzedaży Pojazdu Przedsiębiorcy odpowiedzialność FTC Group z tytułu rękojmi zostaje wyłączona w najszerszym zakresie dozwolonym przez art. 558 Kodeksu cywilnego.
  3. Wyłączenie rękojmi nie jest skuteczne, jeżeli FTC Group podstępnie zataiła wadę.
  4. Przedsiębiorca powinien zbadać Pojazd przy odbiorze w czasie i w sposób przyjęty przy tego rodzaju rzeczach oraz niezwłocznie zgłosić wykryte zastrzeżenia.
  5. Ograniczenia dotyczące Przedsiębiorców nie mają zastosowania do Przedsiębiorcy na prawach konsumenta w zakresie, w jakim przepisy przyznają mu ochronę konsumencką.
  6. Z wyjątkiem szkody wyrządzonej umyślnie oraz przypadków, w których ograniczenie jest niedopuszczalne, odpowiedzialność FTC Group wobec Przedsiębiorcy z tytułu niewykonania lub nienależytego wykonania usługi jest ograniczona do wysokości wynagrodzenia netto należnego FTC Group za Zamówienie, którego dotyczy roszczenie.
  7. Wobec Przedsiębiorcy FTC Group nie odpowiada za utracone korzyści, utratę przychodów, przerwy w działalności ani szkody pośrednie, chyba że szkoda została wyrządzona umyślnie.

§ 27. Okoliczności wyłączające odpowiedzialność

  1. FTC Group nie odpowiada za niewykonanie lub opóźnienie w wykonaniu Umowy w zakresie spowodowanym okolicznościami, za które FTC Group nie ponosi odpowiedzialności.
  2. Okoliczności takie mogą obejmować w szczególności:
    1. działania wojenne;
    2. zamieszki;
    3. blokady transportowe;
    4. zamknięcie portów;
    5. katastrofy naturalne;
    6. ekstremalne warunki pogodowe;
    7. pożary;
    8. strajki;
    9. epidemie;
    10. decyzje władz;
    11. zakazy eksportu lub importu;
    12. awarie systemów aukcyjnych;
    13. poważne zakłócenia bankowe;
    14. zatrzymanie Pojazdu przez właściwe organy;
    15. zmianę przepisów powodującą niemożność realizacji Umowy.
  3. Strona, która powzięła informację o takiej okoliczności, powinna poinformować drugą stronę i podjąć rozsądne działania służące ograniczeniu jej skutków.
  4. FTC Group nie może powoływać się na działania podmiotu zewnętrznego, jeżeli zgodnie z prawem odpowiada za ten podmiot jak za własne działanie.

§ 28. Reklamacje dotyczące usług

  1. Klient może złożyć reklamację dotyczącą sposobu wykonania usługi.
  2. Reklamację można przesłać:
    1. pocztą elektroniczną na adres biuro@dubailuxecar.com;
    2. pisemnie na adres al. Grunwaldzka 472, 80-309 Gdańsk.
  3. Reklamacja powinna, w miarę możliwości, zawierać:
    1. imię i nazwisko albo nazwę Klienta;
    2. dane kontaktowe;
    3. numer Zamówienia lub dane Pojazdu;
    4. opis zastrzeżenia;
    5. datę stwierdzenia problemu;
    6. oczekiwany sposób rozwiązania;
    7. dostępne dokumenty lub zdjęcia.
  4. Brak części powyższych danych nie powoduje automatycznego odrzucenia reklamacji, jeżeli możliwe jest jej rozpoznanie.
  5. FTC Group może poprosić o uzupełnienie informacji koniecznych do wyjaśnienia sprawy.
  6. Reklamacja Konsumenta zostanie rozpatrzona w terminie 14 dni od jej otrzymania.
  7. Odpowiedź zostanie przekazana na papierze lub innym Trwałym nośniku.
  8. W przypadku reklamacji Przedsiębiorcy termin odpowiedzi może zostać dostosowany do złożoności sprawy, przy czym FTC Group poinformuje o przewidywanym terminie.

§ 29. Reklamacje dotyczące Pojazdu sprzedanego przez FTC Group

  1. Reklamacja dotycząca zgodności Pojazdu z Umową powinna zostać skierowana do FTC Group.
  2. Konsument może złożyć reklamację w dowolnej formie, przy czym forma pisemna lub elektroniczna jest zalecana dla celów dowodowych.
  3. FTC Group nie uzależnia przyjęcia reklamacji od posiadania konkretnego formularza.
  4. W reklamacji Konsument może wskazać żądanie wynikające z obowiązujących przepisów.
  5. FTC Group odpowiada na reklamację Konsumenta w terminie 14 dni.
  6. Brak odpowiedzi w wymaganym terminie wywołuje skutki określone w ustawie o prawach konsumenta.
  7. Jeżeli rozpoznanie reklamacji wymaga oględzin lub diagnostyki Pojazdu, strony ustalają sposób i miejsce ich przeprowadzenia.
  8. Konsument udostępnia Pojazd FTC Group w zakresie koniecznym do wykonania obowiązków reklamacyjnych.
  9. Koszty naprawy, wymiany, odbioru lub transportu ponosi strona wskazana przez obowiązujące przepisy.
  10. Postanowienia Regulaminu nie ograniczają ustawowych uprawnień Konsumenta.

§ 30. Usługi świadczone drogą elektroniczną

  1. FTC Group świadczy drogą elektroniczną w szczególności usługi polegające na:
    1. umożliwieniu przeglądania Serwisu;
    2. udostępnianiu informacji o działalności;
    3. umożliwieniu wysłania zapytania;
    4. umożliwieniu kontaktu elektronicznego;
    5. przekazywaniu Ofert i dokumentów.
  2. Korzystanie z Serwisu wymaga:
    1. urządzenia z dostępem do internetu;
    2. aktualnej przeglądarki internetowej;
    3. aktywnego adresu e-mail – w przypadku korespondencji;
    4. włączonej obsługi niezbędnych plików cookies.
  3. Korzystanie z podstawowych funkcji Serwisu jest nieodpłatne.
  4. Klient nie może:
    1. przekazywać treści bezprawnych;
    2. naruszać praw osób trzecich;
    3. podejmować działań zakłócających działanie Serwisu;
    4. wprowadzać złośliwego oprogramowania;
    5. podszywać się pod inną osobę;
    6. wykorzystywać Serwisu do oszustwa;
    7. automatycznie pobierać treści bez zgody FTC Group.
  5. Usługa przeglądania Serwisu rozpoczyna się z chwilą wejścia na stronę i kończy z chwilą jej opuszczenia.
  6. Usługa przesłania zapytania rozpoczyna się z chwilą wysłania formularza lub wiadomości.
  7. Reklamacje dotyczące działania Serwisu można przesyłać na adres biuro@dubailuxecar.com.
  8. FTC Group może czasowo ograniczyć dostęp do Serwisu z powodu konserwacji, aktualizacji, awarii lub zagrożenia bezpieczeństwa.

§ 31. Dane osobowe

  1. Administratorem danych osobowych przetwarzanych w związku z Serwisem i realizacją Umów jest FTC Group.
  2. Szczegółowe zasady przetwarzania danych osobowych oraz wykorzystywania plików cookies określa Polityka prywatności dostępna w Serwisie.
  3. Dane Klienta mogą być przekazywane podmiotom uczestniczącym w realizacji Zamówienia, w szczególności sprzedawcom, domom aukcyjnym, inspektorom, przewoźnikom, spedytorom, agentom celnym, ubezpieczycielom, bankom i organom publicznym, w zakresie koniecznym do wykonania Umowy.
  4. Ze względu na charakter usług dane mogą być przekazywane poza Europejski Obszar Gospodarczy, w tym do Zjednoczonych Emiratów Arabskich, na zasadach określonych w Polityce prywatności i obowiązujących przepisach.

§ 32. Prawa autorskie

  1. Treści zamieszczone w Serwisie, w szczególności teksty, grafiki, znaki, układ strony, materiały reklamowe i opracowania, mogą podlegać ochronie prawnej.
  2. Bez uprzedniej zgody FTC Group zabronione jest ich kopiowanie, publikowanie, rozpowszechnianie lub wykorzystywanie w celach komercyjnych, z wyjątkiem przypadków dozwolonych przez prawo.
  3. Znaki towarowe, fotografie i materiały należące do producentów, sprzedawców lub partnerów pozostają własnością właściwych podmiotów.

§ 33. Pozasądowe rozwiązywanie sporów konsumenckich

  1. Konsument może skorzystać z pozasądowych sposobów rozpatrywania reklamacji i dochodzenia roszczeń.
  2. Po zakończeniu postępowania reklamacyjnego FTC Group przekazuje Konsumentowi na papierze lub innym Trwałym nośniku informację, czy wyraża zgodę na udział w konkretnym postępowaniu pozasądowym, jeżeli obowiązek przekazania takiej informacji wynika z przepisów.
  3. Konsument może zwrócić się między innymi do:
    1. właściwego miejscowo wojewódzkiego inspektoratu Inspekcji Handlowej;
    2. stałego sądu polubownego przy Inspekcji Handlowej;
    3. miejskiego lub powiatowego rzecznika konsumentów;
    4. organizacji konsumenckiej;
    5. innego podmiotu uprawnionego wpisanego do rejestru prowadzonego przez Prezesa UOKiK.
  4. Udział w pozasądowym postępowaniu jest dobrowolny, chyba że obowiązujące przepisy stanowią inaczej.
  5. Skorzystanie z pozasądowej metody nie pozbawia Konsumenta prawa do skierowania sprawy do sądu.

§ 34. Prawo właściwe i sąd

  1. Do Regulaminu i Umów stosuje się prawo polskie.
  2. Wybór prawa polskiego nie pozbawia Konsumenta ochrony wynikającej z bezwzględnie obowiązujących przepisów państwa jego zwykłego pobytu, jeżeli przepisy te znajdują zastosowanie.
  3. Spory z Konsumentami są rozpoznawane przez sąd właściwy na podstawie obowiązujących przepisów.
  4. Spory z Przedsiębiorcami niebędącymi Przedsiębiorcami na prawach konsumenta będą rozpoznawane przez sąd powszechny właściwy dla Gdańska, o ile strony nie uzgodnią inaczej.
  5. Przed skierowaniem sprawy do sądu strony powinny, w miarę możliwości, podjąć próbę polubownego rozwiązania sporu.

§ 35. Zmiany Regulaminu

  1. FTC Group może zmienić Regulamin w szczególności w przypadku:
    1. zmiany przepisów prawa;
    2. zmiany zakresu świadczonych usług;
    3. zmiany sposobu składania Zamówień;
    4. wdrożenia nowych funkcji Serwisu;
    5. konieczności zwiększenia bezpieczeństwa;
    6. konieczności doprecyzowania postanowień.
  2. Do Zamówienia stosuje się Regulamin zaakceptowany przez Klienta przy zawieraniu Umowy, chyba że zmiana wynika z bezwzględnie obowiązujących przepisów albo strony zgodnie zaakceptują nową wersję.
  3. Zmiany Regulaminu nie naruszają praw nabytych przez Klienta.
  4. Aktualna wersja Regulaminu jest dostępna w Serwisie.

§ 36. Postanowienia końcowe

  1. Jeżeli którekolwiek postanowienie Regulaminu okaże się nieważne lub nieskuteczne, nie wpływa to na ważność pozostałych postanowień.
  2. W miejsce nieważnego postanowienia stosuje się właściwy przepis prawa.
  3. FTC Group i Klient zobowiązują się współpracować oraz przekazywać sobie informacje potrzebne do prawidłowego wykonania Umowy.
  4. Klient powinien informować FTC Group o zmianie danych kontaktowych mających znaczenie dla realizacji Zamówienia.

TERMS & CONDITIONS OF SERVICE, INTERMEDIATION AND VEHICLE SALES

§ 1. General provisions

  1. These Terms & Conditions define the rules of:
    1. using the website available at www.dubailuxecar.com;
    2. submitting inquiries and orders;
    3. providing vehicle search and import services on individual orders;
    4. intermediation in vehicle purchase;
    5. purchase of vehicles by FTC Group and their resale to Clients;
    6. organizing inspections, transport, customs clearance, documentation preparation and other services related to vehicle import;
    7. payments, complaints, liability and contract termination.
  2. The entity operating under the brand Dubai Luxe Car is:

    hereinafter referred to as "FTC Group".

  3. The Terms & Conditions are made available free of charge on the Website in a manner enabling downloading, saving and printing.
  4. The Client should read the Terms & Conditions before placing an Order or concluding a Contract.
  5. Placing an Order or concluding a Contract requires acceptance of the Terms & Conditions, unless the parties expressly agree otherwise in an individual Contract.
  6. The Terms & Conditions apply to Consumers, Entrepreneurs on consumer rights and other Entrepreneurs, taking into account the differences resulting from applicable laws.
  7. Matters not regulated by the Terms & Conditions shall be governed by Polish law, in particular the Civil Code, the Consumer Rights Act and the Act on the Provision of Electronic Services.

§ 2. Definitions

The terms used in the Terms & Conditions mean:

  1. FTC Group – FTC Group Sp. z o.o., operating under the brand Dubai Luxe Car.
  2. Website – the website available at www.dubailuxecar.com.
  3. Client – a natural person, legal person or an organizational unit with legal capacity that contacts FTC Group, places an Order or concludes a Contract.
  4. Consumer – a natural person performing a legal transaction with FTC Group not directly related to their business or professional activity.
  5. Entrepreneur – a natural person, legal person or an organizational unit conducting business or professional activity in its own name.
  6. Entrepreneur on consumer rights – a natural person concluding a Contract directly related to their business activity, when the content of the Contract indicates that it does not have a professional character for that person.
  7. Vehicle – a passenger car, delivery van, off-road vehicle, motorcycle or other vehicle specified in the Order.
  8. Order – an order submitted by the Client and accepted by FTC Group regarding the search, purchase, intermediation, import, transport or sale of a specific Vehicle.
  9. Individual Contract – a sales contract, intermediation contract, service contract, power of attorney, Order confirmation or other document specifying individual terms of cooperation.
  10. Sales Model – a model in which FTC Group purchases the Vehicle in its own name and then sells it to the Client as the seller.
  11. Intermediation Model – a model in which FTC Group acts on behalf of the Client in the scope of searching, verifying, negotiating or organizing the purchase of the Vehicle, while the parties to the Vehicle purchase agreement are the Client and the foreign or domestic seller.
  12. Offer – information presenting the terms of a specific transaction, in particular the Vehicle, scope of services, price, remuneration, additional costs and estimated completion date.
  13. Vehicle Specification – agreed Client requirements regarding, among others, brand, model, year, mileage, engine version, equipment, color, history, technical condition and budget.
  14. External Costs – costs due to independent entities, in particular sellers, auction houses, banks, payment operators, appraisers, carriers, freight forwarders, ports, warehouses, customs agents, translators, offices and vehicle inspection stations.
  15. Durable Medium – a material or tool enabling the storage of information in a way that allows future access, in particular paper, email or PDF document.

§ 3. Scope of FTC Group's activity

  1. FTC Group deals with importing Vehicles on individual Client orders, in particular from Dubai, the United Arab Emirates and other foreign markets.
  2. Depending on individual arrangements, the scope of FTC Group's activity may include:
    1. analysis of the Client's needs;
    2. preparation of the Vehicle Specification;
    3. searching for Vehicles;
    4. presenting available offers to the Client;
    5. verification of the seller's data;
    6. verification of the available Vehicle history;
    7. organizing inspections or technical inspections;
    8. obtaining photos, recordings or reports;
    9. negotiating purchase terms;
    10. participating in auctions;
    11. purchasing the Vehicle in its own name;
    12. purchasing the Vehicle on behalf of or for the Client;
    13. handling payments related to the purchase;
    14. organizing land and sea transport;
    15. organizing loading, unloading and storage;
    16. organizing transport insurance, if ordered;
    17. organizing export and import customs clearance;
    18. preparing or obtaining documentation;
    19. organizing translation of documents;
    20. assistance in the field of technical inspections, homologation, excise duty or registration;
    21. delivering the Vehicle to the agreed location;
    22. selling the imported Vehicle to the Client.
  3. The exact scope of services is specified each time in the Offer, Order or Individual Contract.
  4. FTC Group is not obliged to perform activities that are not covered by the accepted scope of the Order.
  5. FTC Group may use subcontractors and partners, in particular appraisers, inspectors, auction houses, carriers, freight forwarders, customs agents and translators.
  6. Entrusting specific activities to a subcontractor does not release FTC Group from liability to the extent resulting from applicable law and the concluded Contract.

§ 4. Cooperation models

  1. FTC Group uses two basic cooperation models:
    1. Sales Model;
    2. Intermediation Model.
  2. The model applicable to a specific Order is indicated to the Client before the payment obligation arises or binding actions related to the purchase of the Vehicle are taken.
  3. In the Sales Model:
    1. FTC Group purchases the Vehicle in its own name;
    2. FTC Group is a party to the sales contract concluded with the Client;
    3. FTC Group issues the Client with the appropriate sales document;
    4. FTC Group's liability as a seller is specified in the Contract, the Terms & Conditions and applicable laws;
    5. the total sale price and its components are presented to the Client before the conclusion of the Contract.
  4. In the Intermediation Model:
    1. FTC Group does not have to be the owner or seller of the Vehicle;
    2. the Client may be the direct party to the Vehicle purchase agreement;
    3. FTC Group acts on the basis of an order, authorization or power of attorney;
    4. the Client may be the importer of the Vehicle;
    5. FTC Group's remuneration is separate from the Vehicle price and External Costs, unless the Offer provides for a package price;
    6. claims regarding the Vehicle itself may be available to the Client directly against the foreign seller, auction house or other entity that is a party to the sale;
    7. FTC Group is responsible for the proper performance of the entrusted services, and not for the obligations of an independent seller, subject to FTC Group's liability for its own actions and omissions.
  5. Withdrawal from the intermediation contract concluded with FTC Group does not automatically terminate the sales contract concluded directly by the Client with the foreign seller or auction house.
  6. If the documents of a given Order do not clearly indicate the cooperation model, before making the purchase FTC Group provides the Client with information on who will be the purchaser of the Vehicle and the party to the sales contract.

§ 5. Information on the Website

  1. Information, photos, descriptions of Vehicles, sample valuations and materials published on the Website are for informational purposes only.
  2. Information published on the Website does not constitute an offer within the meaning of the Civil Code, unless the specific material expressly indicates otherwise.
  3. The sample prices for importing Vehicles presented may be based on exchange rates, transport charges, taxes, customs duties and other costs in force at the time of preparing the calculation.
  4. The final terms of a specific Order are determined by the Offer or Individual Contract accepted by the Client.
  5. Photos posted on the Website may be illustrative.
  6. FTC Group makes efforts to ensure that the information on the Website is up to date, however the availability of Vehicles and the amount of costs may change.

§ 6. Submitting inquiries and Orders

  1. The Client can contact FTC Group in particular:
    1. via the form available on the Website;
    2. via email;
    3. by phone;
    4. via an instant messenger;
    5. via FTC Group's social media profile;
    6. in person.
  2. A Client's inquiry does not automatically result in the conclusion of a Contract or an obligation to make a purchase.
  3. In order to prepare an Offer, FTC Group may ask the Client to provide:
    1. the expected brand and model;
    2. year of production;
    3. engine type;
    4. equipment version;
    5. maximum mileage;
    6. permissible damage history;
    7. required technical condition;
    8. budget;
    9. completion date;
    10. data necessary to conclude the Contract and make settlements.
  4. The Contract is concluded at the time of:
    1. signing the Individual Contract by both parties;
    2. acceptance by the Client of the Offer or confirmation of the Order on a Durable Medium;
    3. or performing another expressly agreed action confirming the conclusion of the Contract.
  5. If the conclusion of the Contract involves a payment obligation, the Client is clearly informed about this before making a binding declaration.
  6. If FTC Group contacts the Consumer by phone on its own initiative in order to conclude a Contract, the content of the proposed Contract will be confirmed on a Durable Medium. The Contract is concluded after its acceptance by the Consumer on a Durable Medium.
  7. FTC Group may refuse to accept an Order, in particular when:
    1. the Client's requirements are impossible to meet;
    2. the budget does not correspond to market conditions;
    3. the Order may violate the law;
    4. the Client has not provided the required information;
    5. there are justified doubts regarding the legality of the transaction or the origin of funds;
    6. the Client has not made the required payment;
    7. further implementation could expose FTC Group or the Client to disproportionate legal or economic risk.

§ 7. Order of application of documents

  1. The following may apply to a specific transaction:
    1. Individual Contract;
    2. Order confirmation;
    3. Offer;
    4. Vehicle Specification;
    5. power of attorney;
    6. acceptance protocol;
    7. Terms & Conditions.
  2. In the event of a conflict, the following take precedence in order:
    1. Individual Contract;
    2. Order confirmation;
    3. Offer and accepted Specification;
    4. Terms & Conditions.
  3. Provisions of the Individual Contract less favorable to the Consumer than the mandatory provisions of law shall not violate the rights granted to them by those provisions.

§ 8. Vehicle search

  1. FTC Group searches for the Vehicle in accordance with the accepted Specification and the scope of the Order.
  2. FTC Group does not guarantee finding a Vehicle meeting all the Client's requirements within a specified period, unless it has undertaken such an obligation in the Individual Contract.
  3. The Client acknowledges that the availability of specific models, configurations and equipment versions may be limited.
  4. If it is not possible to find a Vehicle consistent with all requirements, FTC Group may present the Client with vehicles with similar parameters.
  5. Purchase of a Vehicle with parameters deviating from the original Specification requires the Client's consent, provided at least by email, text message or messenger allowing the content to be recorded.
  6. The Client should carefully review the information regarding the proposed Vehicle before approving it.

§ 9. Vehicle approval

  1. Before making a binding purchase, FTC Group provides the Client with available information about the Vehicle, according to the scope of the Order.
  2. The information may include:
    1. brand and model;
    2. year of production or model year;
    3. VIN number;
    4. declared mileage;
    5. equipment;
    6. visual condition;
    7. disclosed damage history;
    8. available auction report;
    9. inspection report;
    10. photos and recordings;
    11. purchase price;
    12. estimated External Costs;
    13. known risks associated with the purchase.
  3. The Client approves the Vehicle in a way that allows the content of the consent to be recorded.
  4. Approval of the Vehicle means consent to its purchase on the presented terms, taking into account information about the disclosed condition and defects.
  5. Approval of the Vehicle does not deprive the Consumer of rights that cannot be effectively waived.
  6. FTC Group does not purchase a Vehicle exceeding the approved price limit or budget without obtaining additional Client consent.

§ 10. Auctions

  1. The Vehicle may be purchased through a stationary or online auction.
  2. Before participating in the bidding, the Client approves:
    1. the specific Vehicle;
    2. the maximum bid price;
    3. known auction fees;
    4. estimated remaining costs;
    5. the scope of available Vehicle verification.
  3. The maximum bid amount does not include the auction house commission, taxes, bank charges, transport and other External Costs, unless expressly stated otherwise.
  4. FTC Group does not guarantee winning the auction.
  5. If the auction is not won, further proceedings depend on the arrangements with the Client. FTC Group may search for another Vehicle within the same Order.
  6. If the Client is the direct purchaser of the Vehicle, winning the auction may result in the Client incurring a binding obligation towards the auction house or seller.
  7. The Client is informed about the rules of a specific auction before approving participation, if the rules have been made available to FTC Group.
  8. The mere fact that FTC Group or the Client purchases the Vehicle through a foreign online auction does not automatically mean that the subsequent contract concluded between FTC Group and the Consumer is a public auction within the meaning of Polish consumer law.

§ 11. Vehicle condition and inspection

  1. Vehicles imported on order may be new or used.
  2. A used vehicle may show signs of wear corresponding to its age, mileage, purpose and previous use.
  3. Vehicles offered on foreign markets may:
    1. differ in specification from versions intended for the European market;
    2. require adaptation to Polish or EU technical requirements;
    3. have a repair history;
    4. have previous damage;
    5. require service, repair, replacement of parts or coding;
    6. not have complete service documentation;
    7. have equipment that is unavailable or unsupported on the European market.
  4. The scope of the inspection is specified each time in the Offer or Contract.
  5. The inspection may be:
    1. visual;
    2. photographic;
    3. technical;
    4. computer;
    5. extended, including a test drive or measurements, if possible.
  6. Inspection does not involve disassembling the entire Vehicle and does not guarantee the detection of all defects, in particular hidden defects, periodic defects or those that can only be identified during specialist disassembly.
  7. A report prepared by an independent inspector, appraiser or auction house presents the condition found at the time of the inspection and within its scope.
  8. FTC Group transmits reports and information obtained from external entities in accordance with their content and cannot independently guarantee the truthfulness of information whose verification was not covered by the Order.
  9. FTC Group is responsible for reliably conveying the information it received and for not misleading the Client.
  10. If the Client waives an available inspection despite being informed of its importance, the risk of non-detection of defects increases. This does not affect the mandatory rights of the Consumer towards FTC Group as the seller.
  11. The declared mileage may come from the odometer, documents, auction report or seller's information. FTC Group confirms the authenticity of the mileage only if it has expressly undertaken such verification.

§ 12. Price, remuneration and costs

  1. The price and scope of settlement are determined individually.
  2. In the Sales Model, FTC Group informs the Client before concluding the Contract about:
    1. the total price of the Vehicle;
    2. taxes and charges included in the price;
    3. costs not included in the price;
    4. delivery or collection costs;
    5. the principles of any price change, if the nature of the transaction does not allow its final calculation in advance.
  3. In the Intermediation Model, the Client may be obliged to cover:
    1. the purchase price of the Vehicle;
    2. FTC Group's remuneration;
    3. the seller's or auction house's commission;
    4. inspection costs;
    5. bank charges and currency exchange costs;
    6. transport costs within the country of purchase;
    7. sea or air transport costs;
    8. insurance costs;
    9. port charges;
    10. transshipment and storage costs;
    11. customs duties;
    12. VAT;
    13. excise tax;
    14. translation costs;
    15. technical inspection costs;
    16. homologation or adaptation costs;
    17. registration costs;
    18. other costs accepted by the Client.
  4. FTC Group does not charge the Consumer any additional fees that the Consumer has not been informed of before concluding the Contract.
  5. The calculation may be:
    1. fixed price;
    2. maximum price;
    3. estimated cost estimate;
    4. a price consisting of a fixed amount and External Costs settled according to their actual amount.
  6. The type of calculation is specified in the Offer or Contract.
  7. If the given amount is an estimate, its final amount may depend, among other things, on:
    1. the auction result;
    2. the exchange rate;
    3. bank charges;
    4. transport rates;
    5. port charges;
    6. storage time;
    7. public law charges;
    8. decisions of customs authorities;
    9. the weight, dimensions or condition of the Vehicle;
    10. the need to perform additional activities.
  8. Before incurring a cost exceeding the approved budget, FTC Group requests the Client's consent, unless incurring the cost is necessary to protect the Vehicle from direct damage, loss or the incurrence of higher charges, and contact with the Client is impossible.
  9. In the case of a Consumer, the possibility of incurring necessary costs without prior consent cannot lead to charging them with a fee contrary to applicable law.
  10. If the Client does not accept the increase in the estimated cost, the parties determine the further course of action, taking into account obligations already incurred and irreversible.

§ 13. Exchange rates

  1. If the settlement requires payment in a foreign currency, the conversion may be made according to:
    1. the exchange rate applied by the bank or payment operator;
    2. the exchange rate indicated in the Offer;
    3. the exchange rate agreed in the Individual Contract.
  2. The Client is informed whether the presented calculation includes a currency buffer or charges for currency exchange.
  3. If between the preparation of the calculation and the payment there is a significant change in the exchange rate, FTC Group presents an updated settlement before incurring an obligation exceeding the approved budget.
  4. FTC Group is not responsible for changes in exchange rates independent of it, but is responsible for the correct application of the agreed conversion method.

§ 14. Payments

  1. Payments are made within the deadlines and in the amounts specified in the Offer, Order, invoice, pro forma invoice or Individual Contract.
  2. The payment may include:
    1. remuneration for starting the search;
    2. inspection cost;
    3. the amount intended for the purchase of the Vehicle;
    4. security for participation in the auction;
    5. transport cost;
    6. public law charges;
    7. the remaining part of the price or remuneration.
  3. The legal nature of the paid amount, in particular as an advance payment, deposit, prepayment or payment for a specific service, results from the document concerning the specific payment.
  4. If the document does not specify the payment as a deposit, it is not considered a deposit merely because it was made before the start of implementation.
  5. In the Intermediation Model, funds transferred for the purchase of the Vehicle or to cover External Costs may be used in accordance with the accepted Order.
  6. FTC Group presents a settlement of the received funds to the extent resulting from the Contract.
  7. Failure to make the required payment may result in:
    1. suspension of the search;
    2. non-participation in the auction;
    3. suspension of transport or release of the Vehicle;
    4. incurring additional storage costs;
    5. termination of the Contract if the Client fails to pay despite a call for payment.
  8. FTC Group is not responsible for the loss of the opportunity to purchase the Vehicle resulting from the Client's failure to make payment within the required time.
  9. Refund of funds takes place after settlement of obligations arising from the Contract, taking into account the Consumer's rights and costs that may be deducted in accordance with the law and the Contract.

§ 15. Purchase in the Intermediation Model

  1. In the Intermediation Model, the Client may grant FTC Group a power of attorney to perform activities related to the purchase and import of the Vehicle.
  2. The power of attorney specifies the scope of activities that FTC Group may perform on behalf of the Client.
  3. FTC Group may not without the Client's consent:
    1. purchase a Vehicle other than the approved one;
    2. exceed the approved price limit;
    3. significantly change the agreed transaction terms;
    4. incur an obligation on behalf of the Client not covered by the power of attorney.
  4. The Client undertakes to provide the data and documents necessary to execute the power of attorney.
  5. If the Client is the direct purchaser or importer, they bear the obligations arising from the sales contract concluded by them and the regulations regarding import, subject to the obligations entrusted to FTC Group.
  6. FTC Group informs the Client about the known material terms of the contract with the seller, in particular regarding payment, liability, cancellation of the purchase and collection of the Vehicle.

§ 16. Transport and insurance

  1. Transport of the Vehicle may be organized by FTC Group or by the Client.
  2. The type of transport, place of dispatch, place of delivery and estimated date are determined individually.
  3. Transport may involve several stages and be carried out by different carriers.
  4. Transport dates are indicative, unless a specific date has been expressly guaranteed in the Contract.
  5. The transport date may be affected by, among other things:
    1. ship schedules;
    2. weather conditions;
    3. port and customs controls;
    4. carrier availability;
    5. loading delays;
    6. strikes;
    7. closure of ports or routes;
    8. breakdowns;
    9. geopolitical events;
    10. actions of state authorities.
  6. Transport insurance is concluded if it results from the Offer or has been separately ordered by the Client.
  7. The Client is informed about the scope of insurance if insurance is part of FTC Group's service.
  8. In the event of transport damage, the Client should immediately inform FTC Group and enable the preparation of documentation required by the carrier or insurer.
  9. FTC Group supports the Client in pursuing transport claims to the extent covered by the Contract.
  10. The liability of the carrier or insurer is determined by the applicable regulations and the terms of the contract concluded with them.

§ 17. Customs clearance, taxes and fees

  1. The scope of customs and tax handling is indicated in the Offer or Contract.
  2. Calculations of public law charges may be estimated until they are finally determined by the competent authority.
  3. The final amount of customs duty, VAT, excise duty and other fees may depend, among other things, on:
    1. customs value;
    2. country of origin;
    3. engine capacity and type;
    4. type of drive;
    5. tariff classification;
    6. transport and insurance costs;
    7. customs exchange rate;
    8. decision of the competent authority.
  4. FTC Group cannot guarantee that the customs authority will accept the value or classification indicated in the estimated calculation.
  5. If the Client is the importer, they undertake to cooperate in the customs clearance and provide the required documents.
  6. FTC Group is not responsible for delays resulting from the lack of documents, incorrect data provided by the Client or the decision of the competent authority, unless the delay results from FTC Group's action or omission.

§ 18. Vehicle documentation

  1. FTC Group provides the Client with documents received in connection with the purchase and import of the Vehicle, according to the chosen cooperation model.
  2. The documentation may include:
    1. sales document;
    2. document confirming ownership;
    3. export document;
    4. transport document;
    5. customs clearance document;
    6. confirmation of payment of charges;
    7. available technical documents;
    8. inspection report;
    9. keys and equipment provided by the seller.
  3. The scope of documentation depends on the country of origin, seller, type of auction and transaction model.
  4. If a specific document is only available in electronic form or as a duplicate, FTC Group informs the Client about this.
  5. The Client undertakes to immediately provide FTC Group with the data necessary for the correct issuance of documents.

§ 19. Homologation, technical inspection and registration

  1. A Vehicle imported from outside the European Union may require adaptation to the technical requirements in force in Poland.
  2. Adaptation may include, among other things:
    1. lighting;
    2. direction indicators;
    3. rear fog light;
    4. speedometer;
    5. multimedia systems;
    6. markings and equipment elements;
    7. additional tests or documents.
  3. The costs of adaptation, testing, opinions, individual approval or homologation are included in the price only if expressly stated in the Offer.
  4. FTC Group may assist in the registration process, but cannot guarantee the issuance of a specific decision by the office if the decision depends on the assessment of the competent authority.
  5. FTC Group is responsible for the proper performance of the activities entrusted to it in the scope of documentation or registration.
  6. If before concluding the Contract FTC Group knows that the Vehicle may not meet the registration conditions or registration involves an increased risk, it informs the Client about this before making the purchase.

§ 20. Completion date

  1. The estimated completion date is determined individually.
  2. The date may include:
    1. Vehicle search;
    2. making the purchase;
    3. preparation for export;
    4. transport to the port;
    5. waiting for loading;
    6. international transport;
    7. customs clearance;
    8. domestic transport;
    9. document preparation;
    10. adaptation of the Vehicle.
  3. The date is estimated if it depends on external entities or public authorities.
  4. FTC Group informs the Client of any known significant delay.
  5. If the delay concerns a sales contract concluded with a Consumer, the Consumer retains all rights under applicable law, including the possibility of setting an additional deadline when the law provides for such a right.
  6. FTC Group is not responsible for a delay caused solely by a circumstance beyond its reasonable control, provided it has exercised due diligence and taken steps to mitigate the effects of the delay.

§ 21. Release and collection of the Vehicle

  1. The Vehicle is released at a location agreed by the parties.
  2. Before release, FTC Group may make the transfer of the Vehicle conditional upon payment of all due amounts.
  3. Upon collection, the parties may draw up a protocol including:
    1. date and place of collection;
    2. odometer reading;
    3. visible damage;
    4. number of keys;
    5. transferred documents;
    6. transferred equipment;
    7. reported reservations.
  4. The Client should inspect the Vehicle upon collection to the extent possible without specialist disassembly.
  5. Failure to record a hidden defect in the protocol that could not be identified during a normal collection does not deprive the Consumer of their rights.
  6. In the Sales Model, the risk of accidental loss or damage to the Vehicle passes to the Consumer upon its release to the Consumer or a person indicated by them, taking into account exceptions resulting from applicable law.
  7. In the Intermediation Model, the transfer of risk is determined by the terms of the contract concluded with the seller, carrier or insurer.
  8. If the Client fails to collect the Vehicle within the agreed time without a justified reason, they may be charged with reasonable and previously communicated costs of further storage.

§ 22. Withdrawal and termination of the Contract

  1. The rules for withdrawal depend on the cooperation model and the stage of Order implementation.
  2. The Client may submit a declaration of withdrawal in document form, in particular by email.
  3. If the Client withdraws before purchasing the Vehicle, the settlement may include:
    1. the value of services performed up to the date of withdrawal;
    2. the agreed remuneration due for the completed stage;
    3. non-refundable External Costs incurred in accordance with the Order;
    4. the remaining part of unused funds subject to refund.
  4. If the Client in the Intermediation Model has approved the purchase, and FTC Group or the Client have incurred a binding obligation towards the seller, auction house, carrier or other entity, the Client's subsequent withdrawal does not automatically terminate these obligations.
  5. FTC Group presents the Client with a settlement of the effects of withdrawal.
  6. FTC Group may terminate the Contract in the event of a material breach of its terms by the Client, in particular if the Client:
    1. fails to make the required payment;
    2. does not provide the necessary data or documents;
    3. provides false data;
    4. requests the performance of an activity contrary to law;
    5. prevents the performance of the Contract;
    6. does not collect the Vehicle despite a call.
  7. Before terminating the Contract, FTC Group, if possible and expedient, calls on the Client to remedy the breach and sets a reasonable time limit.
  8. The above provisions do not limit the statutory right of the Consumer or Entrepreneur on consumer rights to withdraw from the Contract.

§ 23. Consumer's right to withdraw from the Contract

  1. A Consumer who has concluded a distance or off-premises contract may, as a rule, withdraw from it without giving any reason.
  2. The withdrawal period is:
    1. 14 days – for most distance or off-premises contracts;
    2. 30 days – if the Contract was concluded during an uninvited visit by FTC Group at the Consumer's place of residence or usual stay or during a trip organized for the purpose of promoting or selling services or Vehicles.
  3. In the case of a service contract, the period is counted from the date of conclusion of the Contract.
  4. In the case of a Vehicle sales contract, the period is counted from the date of taking possession of the Vehicle by the Consumer or a person indicated by them other than the carrier.
  5. To meet the deadline, it is sufficient to send the declaration before its expiry.

  7. The Consumer may use the form attached to the Terms & Conditions, but this is not obligatory.
  8. If the Consumer requests the commencement of the service before the expiry of the withdrawal period, FTC Group may commence performance after receiving an express request or consent required by law.
  9. If the Consumer withdraws from the Contract after the commencement of the service at their express request, they may be obliged to pay for the services provided up to the time of withdrawal, proportionally to the agreed scope and price.
  10. The Consumer may lose the right to withdraw from the service contract if:
    1. the service has been fully performed;
    2. its performance began with the Consumer's express and prior consent;
    3. the Consumer has been informed that after full performance of the service they will lose the right of withdrawal;
    4. the Consumer has acknowledged this information, if required by law.
  11. The right of withdrawal may not apply in the cases specified in the Consumer Rights Act, in particular with regard to goods that are not prefabricated, manufactured according to the Consumer's specification or serving to meet their individual needs.
  12. The mere fact of searching for or importing a standard Vehicle on the Client's order does not automatically mean that the Vehicle is a good manufactured according to the Consumer's specification.
  13. FTC Group informs the Consumer before concluding the Contract if, in FTC Group's opinion, a specific Contract is subject to a statutory exclusion of the right of withdrawal.
  14. Withdrawal from the service contract concluded with FTC Group does not automatically terminate the separate sales contract concluded directly by the Consumer with the foreign seller.
  15. In the event of effective withdrawal, FTC Group refunds the due payments within the time and on the terms resulting from applicable law.
  16. In the event of withdrawal from the sales contract, the Consumer returns the Vehicle immediately, no later than 14 days from the date of notifying FTC Group of the withdrawal.
  17. The Consumer bears the direct cost of returning the Vehicle, if they have been properly informed of this before concluding the Contract and the law does not impose this cost on FTC Group.
  18. Due to the nature of the Vehicle, its return may require the organization of specialist transport. Information on the estimated cost of return will be provided to the Consumer before concluding a specific Contract concluded at a distance or off-premises.
  19. The Consumer is liable for any decrease in the value of the Vehicle resulting from using it in a way that goes beyond what is necessary to establish its nature, characteristics and functioning.
  20. The provisions of this paragraph also apply to the Entrepreneur on consumer rights to the extent provided by law.

§ 24. Liability of FTC Group in the Sales Model

  1. If FTC Group is the seller of the Vehicle, it is liable for its conformity with the Contract on the terms set out in applicable law.
  2. In the case of sale to a Consumer, the Vehicle should be in conformity with the Contract, in particular in terms of:
    1. description;
    2. type;
    3. quality;
    4. completeness;
    5. functionality;
    6. suitability for ordinary purposes;
    7. properties expressly agreed with the Consumer.
  3. When assessing the conformity of a used Vehicle, the following are taken into account:
    1. its age;
    2. mileage;
    3. disclosed history;
    4. degree of normal wear and tear;
    5. information and deviations expressly accepted by the Consumer before concluding the Contract.
  4. The Consumer should be expressly informed about a specific feature of the Vehicle deviating from the usual conformity requirements and expressly accept it.
  5. FTC Group is liable to the Consumer for the lack of conformity of the Vehicle with the Contract revealed within two years from its delivery, unless the law provides for a longer period.
  6. In the event of a lack of conformity, the Consumer may exercise the rights provided for in the Consumer Rights Act, in particular to request:
    1. repair;
    2. replacement;
    3. price reduction;
    4. withdrawal from the Contract, if the statutory conditions are met.
  7. FTC Group may carry out repair instead of replacement or replacement instead of repair, if the chosen method is impossible or would require excessive costs, in accordance with applicable law.
  8. Withdrawal from the Contract due to non-conformity is not possible if the lack of conformity is immaterial, subject to the rules on the burden of proof resulting from the law.
  9. Liability does not cover features and defects that the Consumer was expressly informed of and which they separately accepted before concluding the Contract, to the extent permitted by law.
  10. The manufacturer's, importer's or other entity's guarantee applies only if it has been granted and a document specifying its terms has been provided.
  11. The guarantee does not exclude, limit or suspend the Consumer's statutory rights against the seller.

§ 25. Liability of FTC Group in the Intermediation Model

  1. In the Intermediation Model, FTC Group undertakes to perform services with due diligence appropriate to the professional nature of the activity.
  2. FTC Group is liable in particular for:
    1. performing the agreed activities;
    2. compliance with the approved budget;
    3. providing the Client with the obtained material information;
    4. not misleading the Client;
    5. acting within the scope of the granted power of attorney;
    6. correct settlement of funds to the extent resulting from the Contract.
  3. FTC Group is not liable as the seller for the non-conformity of the Vehicle with the contract if the seller is an independent foreign entity and FTC Group has correctly informed the Client about the Intermediation Model.
  4. FTC Group is not liable for a defect in the Vehicle that:
    1. it was not aware of;
    2. it could not detect within the agreed scope of verification;
    3. was not disclosed by the seller or the entity preparing the report;
    4. could not be detected without specialist disassembly or testing not covered by the Order;

    provided that FTC Group exercised due diligence and did not conceal known information.

  5. At the Client's request, FTC Group may assist in filing a claim against the foreign seller, auction house, carrier or insurer.
  6. The scope of assistance referred to above may constitute a separate service if it was not covered by the original Order.

§ 26. Liability towards Entrepreneurs

  1. In relation to Entrepreneurs who are not Entrepreneurs on consumer rights, FTC Group's liability may be limited on the terms set out in this paragraph.
  2. In the case of the sale of a Vehicle to an Entrepreneur, FTC Group's liability under warranty is excluded to the fullest extent permitted by Art. 558 of the Civil Code.
  3. The exclusion of warranty is not effective if FTC Group fraudulently concealed the defect.
  4. The Entrepreneur should inspect the Vehicle upon collection in the time and manner customary for such goods and immediately report any detected reservations.
  5. The limitations regarding Entrepreneurs do not apply to the Entrepreneur on consumer rights to the extent that the law grants them consumer protection.
  6. Except for damage caused intentionally and cases where limitation is inadmissible, FTC Group's liability towards the Entrepreneur for non-performance or improper performance of the service is limited to the amount of the net remuneration due to FTC Group for the Order to which the claim relates.
  7. Towards the Entrepreneur, FTC Group is not liable for lost profits, loss of income, business interruptions or indirect damage, unless the damage was caused intentionally.

§ 27. Circumstances excluding liability

  1. FTC Group is not liable for non-performance or delay in the performance of the Contract to the extent caused by circumstances for which FTC Group is not responsible.
  2. Such circumstances may include in particular:
    1. acts of war;
    2. riots;
    3. transport blockades;
    4. closure of ports;
    5. natural disasters;
    6. extreme weather conditions;
    7. fires;
    8. strikes;
    9. epidemics;
    10. decisions of authorities;
    11. export or import bans;
    12. failures of auction systems;
    13. serious banking disruptions;
    14. detention of the Vehicle by competent authorities;
    15. change of regulations making it impossible to perform the Contract.
  3. The party that becomes aware of such a circumstance should inform the other party and take reasonable steps to limit its effects.
  4. FTC Group cannot invoke the actions of an external entity if, in accordance with the law, it is liable for that entity as for its own actions.

§ 28. Complaints regarding services

  1. The Client may submit a complaint regarding the manner of performing the service.
  2. The complaint may be sent:
    1. by email to biuro@dubailuxecar.com;
    2. in writing to al. Grunwaldzka 472, 80-309 Gdańsk.
  3. The complaint should, if possible, include:
    1. the Client's first and last name or company name;
    2. contact details;
    3. Order number or Vehicle details;
    4. description of the reservation;
    5. date of discovery of the problem;
    6. expected method of resolution;
    7. available documents or photos.
  4. The absence of some of the above data does not automatically result in the rejection of the complaint if it is possible to consider it.
  5. FTC Group may ask for additional information necessary to clarify the matter.
  6. The Consumer's complaint will be considered within 14 days of its receipt.
  7. The response will be provided on paper or another Durable Medium.
  8. In the case of a complaint from an Entrepreneur, the response time may be adjusted to the complexity of the matter, with FTC Group informing about the expected date.

§ 29. Complaints regarding a Vehicle sold by FTC Group

  1. A complaint regarding the conformity of the Vehicle with the Contract should be addressed to FTC Group.
  2. The Consumer may submit a complaint in any form, although written or electronic form is recommended for evidentiary purposes.
  3. FTC Group does not make the acceptance of a complaint conditional on the possession of a specific form.
  4. In the complaint, the Consumer may indicate a claim resulting from applicable law.
  5. FTC Group responds to the Consumer's complaint within 14 days.
  6. Failure to respond within the required period has the effects specified in the Consumer Rights Act.
  7. If the consideration of the complaint requires an inspection or diagnosis of the Vehicle, the parties agree on the method and place of its conduct.
  8. The Consumer makes the Vehicle available to FTC Group to the extent necessary to perform the complaint obligations.
  9. The costs of repair, replacement, collection or transport are borne by the party indicated by the applicable law.
  10. The provisions of the Terms & Conditions do not limit the Consumer's statutory rights.

§ 30. Electronic services

  1. FTC Group provides electronic services in particular consisting of:
    1. enabling browsing of the Website;
    2. making information about the activity available;
    3. enabling the submission of an inquiry;
    4. enabling electronic contact;
    5. transmitting Offers and documents.
  2. Using the Website requires:
    1. a device with internet access;
    2. an up-to-date web browser;
    3. an active email address – for correspondence;
    4. enabled support for necessary cookies.
  3. Using the basic functions of the Website is free of charge.
  4. The Client may not:
    1. transmit unlawful content;
    2. violate the rights of third parties;
    3. undertake actions that disrupt the operation of the Website;
    4. introduce malicious software;
    5. impersonate another person;
    6. use the Website for fraud;
    7. automatically download content without FTC Group's consent.
  5. The service of browsing the Website begins upon entering the site and ends upon leaving it.
  6. The service of sending an inquiry begins upon sending the form or message.
  7. Complaints regarding the operation of the Website can be sent to biuro@dubailuxecar.com.
  8. FTC Group may temporarily limit access to the Website due to maintenance, updates, failures or security threats.

§ 31. Personal data

  1. The controller of personal data processed in connection with the Website and the performance of Contracts is FTC Group.
  2. The detailed rules for the processing of personal data and the use of cookies are set out in the Privacy Policy available on the Website.
  3. The Client's data may be transferred to entities participating in the implementation of the Order, in particular sellers, auction houses, inspectors, carriers, freight forwarders, customs agents, insurers, banks and public authorities, to the extent necessary for the performance of the Contract.
  4. Due to the nature of the services, data may be transferred outside the European Economic Area, including to the United Arab Emirates, on the terms set out in the Privacy Policy and applicable law.

§ 32. Copyright

  1. The content published on the Website, in particular texts, graphics, marks, page layout, advertising materials and compilations, may be subject to legal protection.
  2. Without the prior consent of FTC Group, their copying, publishing, distribution or use for commercial purposes is prohibited, except for cases permitted by law.
  3. Trademarks, photographs and materials belonging to manufacturers, sellers or partners remain the property of the respective entities.

§ 33. Out-of-court consumer dispute resolution

  1. The Consumer may use out-of-court methods of handling complaints and pursuing claims.
  2. After the complaint procedure is completed, FTC Group provides the Consumer with information on paper or another Durable Medium as to whether it agrees to participate in a specific out-of-court procedure, if the obligation to provide such information results from the law.
  3. The Consumer may contact, among others:
    1. the competent provincial inspectorate of the Trade Inspection;
    2. the permanent consumer arbitration court at the Trade Inspection;
    3. the municipal or district consumer ombudsman;
    4. a consumer organization;
    5. another entity entitled and entered in the register kept by the President of UOKiK.
  4. Participation in out-of-court proceedings is voluntary, unless applicable law provides otherwise.
  5. Using the out-of-court method does not deprive the Consumer of the right to bring the matter before a court.

§ 34. Applicable law and court

  1. The Terms & Conditions and Contracts are governed by Polish law.
  2. The choice of Polish law does not deprive the Consumer of the protection afforded by the mandatory provisions of the law of the country of their habitual residence, if those provisions apply.
  3. Disputes with Consumers are heard by the court competent under the applicable law.
  4. Disputes with Entrepreneurs who are not Entrepreneurs on consumer rights will be heard by the common court competent for Gdańsk, unless the parties agree otherwise.
  5. Before bringing the matter to court, the parties should, if possible, attempt to resolve the dispute amicably.

§ 35. Changes to the Terms & Conditions

  1. FTC Group may change the Terms & Conditions in particular in the event of:
    1. changes in the law;
    2. changes in the scope of services provided;
    3. changes in the manner of placing Orders;
    4. implementation of new Website functions;
    5. the need to increase security;
    6. the need to clarify the provisions.
  2. The Terms & Conditions accepted by the Client at the time of concluding the Contract apply to the Order, unless the change results from mandatory legal provisions or the parties jointly accept the new version.
  3. Changes to the Terms & Conditions do not affect the Client's acquired rights.
  4. The current version of the Terms & Conditions is available on the Website.

§ 36. Final provisions

  1. If any provision of the Terms & Conditions is invalid or ineffective, this does not affect the validity of the remaining provisions.
  2. The invalid provision shall be replaced by the applicable provision of law.
  3. FTC Group and the Client undertake to cooperate and exchange information necessary for the proper performance of the Contract.
  4. The Client should inform FTC Group of any changes in contact details that are relevant to the implementation of the Order.
